1. INTRODUCTION
These Consumer Terms of Use (“Terms,” “Terms of Use,” or “Agreement”) govern your use of consumer-facing websites and services operated by 1001689754 Ontario Inc., operating as PatchLead (“PatchLead,” “Company,” “we,” “us,” or “our”). PatchLead operates consumer-facing websites designed to help individuals find and connect with independent home-service providers. These websites may include:

- Future home-service websites operated by 1001689754 Ontario Inc. The particular website you visit may use a service-specific brand or domain name. Regardless of the consumer-facing brand, the underlying platform and applicable services may be operated by 1001689754 Ontario Inc. These Terms explain the relationship between you and PatchLead when you visit our websites, submit a service request, communicate with our systems, or use our connection services.
2. ABOUT PATCHLEAD
PatchLead is a technology and lead-generation platform. Our purpose is to facilitate connections between consumers seeking home services and independent businesses that may be able to provide those services. Depending on the website you use, you may request services such as:
- Plumbing;
- HVAC;
- Heating or cooling;
- Cleaning;
- Home maintenance;
- Home improvement;
- Other related services. PatchLead may collect information about your request and use that information to identify service providers whose services may reasonably match your needs. PatchLead does not itself perform the home-service work requested through the websites.
3. ACCEPTANCE OF THESE TERMS
By accessing or using a PatchLead consumer website, you acknowledge that you have had an opportunity to review these Terms. Your use of the website may constitute acceptance of these Terms where applicable. If you submit a service request through an online form, telephone system, or other available method, additional notices or consent language may apply to that particular interaction. Where an online agreement is required, PatchLead will provide the applicable acceptance mechanism and required information before you enter into the relevant agreement. If you do not agree with these Terms, you should not use the applicable website or submit a service request through it.
4. DEFINITIONS
For purposes of these Terms:
4.1 “PatchLead”

4.2 “Consumer,” “you,” or “your”
Means an individual who visits, accesses, or uses a PatchLead consumer website or submits a service request.

4.4 “Service Request”
Means a request submitted by a consumer seeking information, assistance, pricing, availability, or services from a home-service provider.
4.5 “Lead”
Means information relating to a consumer service request that may be used to facilitate a connection with an appropriate service provider.
4.6 “Qualified Lead”
Means a service request that meets applicable internal criteria for potential connection with a participating service provider.
4.7 “Live Transfer”
Means a telephone connection through which PatchLead or its technology connects a consumer with an available service provider.
5. PATCHLEAD’S ROLE
PatchLead acts as a technology intermediary and connection platform. Our role may include:
- Operating consumer websites;
- Receiving consumer service requests;
- Collecting information necessary to process those requests;
- Qualifying service requests;
- Identifying potentially suitable service providers;
- Facilitating telephone connections;
- Facilitating communications between consumers and providers. PatchLead does not become a party to the service contract between a consumer and an independent service provider merely because PatchLead facilitated the introduction or communication.
6. PATCHLEAD IS NOT A HOME-SERVICE PROVIDER
PatchLead is not a plumber, HVAC contractor, cleaner, electrician, general contractor, repair company, or other home-service provider. PatchLead does not itself:
- Inspect your property;
- Diagnose plumbing or HVAC problems;
- Perform repairs;
- Install equipment;
- Provide construction services;
- Provide cleaning services;
- Guarantee contractor workmanship;
- Set the final price charged by an independent provider. Any actual home-service work is performed by the independent service provider you choose to engage. The appearance of a service category, provider, advertisement, or service opportunity on a PatchLead website does not mean that PatchLead itself provides or endorses that service.
7. INDEPENDENT SERVICE PROVIDERS
Service providers connected through PatchLead are independent third parties. Each service provider is responsible for its own:
- Business operations;
- Employees and contractors;
- Licensing and qualifications;
- Insurance;
- Pricing;
- Estimates;
- Scheduling;
- Workmanship;
- Warranties;
- Customer service;
- Compliance with applicable laws. PatchLead does not control the day-to-day operations of independent service providers. Consumers should independently evaluate a provider before agreeing to have work performed.
8. CONSUMER SERVICE REQUESTS
Consumers may submit service requests through:
- Online forms;
- Telephone calls;
- Website features;
- Other communication methods made available by PatchLead. A service request may ask for information such as:
- Name;
- Telephone number;
- Email address;
- Postal code;
- Service address;
- Type of service required;
- Description of the issue;
- Urgency of the request;
- Other information relevant to matching the request. Providing accurate information helps PatchLead identify potentially suitable service providers.
9. INFORMATION PROVIDED BY CONSUMERS
You agree to provide information that is accurate and not intentionally misleading. You should not submit:
- False names;
- False contact information;
- Fraudulent service requests;
- Requests made for unlawful purposes;
- Information belonging to another person without authorization. If information changes after submission, you should provide updated information where necessary.
10. LEAD QUALIFICATION AND MATCHING
PatchLead may use automated systems, technology, and operational processes to assess service requests. Qualification may consider factors such as:
- Requested service;
- Geographic location;
- Service area;
- Consumer responses;
- Availability;
- Urgency;
- Call information;
- Other operational criteria. Qualification does not guarantee that a service provider will accept the request or that a consumer will ultimately hire that provider. PatchLead may determine which participating service providers are potentially suitable based on information available at the time of matching.
11. AI VOICE AGENT AND AUTOMATED COMMUNICATIONS
PatchLead may use AI-powered voice technology and automated systems to communicate with consumers who submit service requests. The AI voice agent may assist with:
- Confirming service requirements;
- Asking qualification questions;
- Collecting additional information;
- Confirming contact details;
- Determining whether a request may qualify;
- Facilitating a connection with a service provider. The use of automated technology does not mean that PatchLead itself provides the requested home service. Consumers may be informed through appropriate notices when they are interacting with an automated or AI-assisted system.
12. TELEPHONE CALLS AND CALL RECORDING
Telephone calls involving PatchLead may be recorded or monitored for legitimate business purposes, subject to applicable law and required notices. Call recording may be used for:
- Quality assurance;
- Service improvement;
- Call verification;
- Fraud prevention;
- Billing verification;
- Dispute resolution;
- Training and operational purposes. Where applicable, an automated disclosure may be provided at the beginning of a call informing participants that the call may be recorded. By continuing a call after receiving an applicable recording notice, you should understand that the call may be recorded in accordance with applicable law.
13. SHARING INFORMATION WITH SERVICE PROVIDERS
When you request a home service, PatchLead may share relevant information from your request with one or more service providers whose services may match your request. Information may include:
- Your name;
- Telephone number;
- Email address where appropriate;
- Service address or postal information;
- Requested service;
- Description of your project or issue;
- Information collected during qualification. The purpose of sharing this information is to facilitate the requested connection and allow an appropriate service provider to respond to your request. PatchLead does not intend to sell consumer service requests to unrelated lead marketplaces merely for resale or redistribution.
14. CONSUMER CHOICE AND PROVIDER SELECTION
A connection through PatchLead does not require you to hire the service provider who contacts you. You remain responsible for deciding whether to:
- Speak with the provider;
- Request an estimate;
- Schedule an appointment;
- Hire the provider;
- Decline the provider’s services. Before hiring a service provider, you should consider information relevant to your decision, including:
- Price;
- Availability;
- Experience;
- Licensing or qualifications where applicable;
- Insurance;
- Reviews;
- Warranty terms;
- Scope of work.
15. CONTRACTOR SERVICES AND SEPARATE AGREEMENTS
Any agreement for home-service work is between you and the applicable independent service provider. The service provider is responsible for communicating its:
- Price;
- Scope of work;
- Terms;
- Payment requirements;
- Scheduling;
- Warranty;
- Cancellation policies. PatchLead is not a party to that separate service agreement unless expressly stated otherwise.
16. NO GUARANTEE OF CONTRACTOR SERVICES
PatchLead does not guarantee that any service provider:
- Will contact you;
- Will be available;
- Will accept your request;
- Will provide an estimate;
- Will offer a particular price;
- Will complete the requested work;
- Will perform work to your expectations. PatchLead also does not guarantee the quality, legality, reliability, timeliness, or suitability of services provided by independent contractors. You acknowledge that PatchLead cannot control the conduct or performance of independent service providers.
17. QUOTES, PRICING AND PAYMENTS
PatchLead does not establish or guarantee the price that an independent service provider may charge for services. Any price, estimate, quote, deposit, service fee, cancellation fee, or other charge communicated to you by a service provider is the responsibility of that service provider. Before authorizing work, consumers should confirm:
- The total or estimated price;
- The scope of work;
- Any applicable taxes or fees;
- Payment terms;
- Cancellation terms;
- Warranty terms;
- Any additional charges that may apply. Unless expressly stated otherwise, PatchLead does not collect payment on behalf of the independent service provider. Any payment made directly to a service provider is subject to the provider’s applicable payment terms.
18. WEBSITE USE
You may use PatchLead consumer websites only for lawful purposes and in accordance with these Terms. You agree not to interfere with the operation or security of the websites. You must not:
- Attempt to gain unauthorized access to systems;
- Introduce malicious software;
- Scrape or harvest information through unauthorized automated methods;
- Interfere with website functionality;
- Circumvent security controls;
- Use the website for fraudulent purposes. PatchLead may restrict access where necessary to protect the website, users, service providers, or Company systems.
19. PROHIBITED CONDUCT
Consumers must not use PatchLead websites to:
- Submit knowingly false service requests;
- Impersonate another person;
- Harass service providers;
- Attempt to obtain services through fraud;
- Submit requests for unlawful purposes;
- Abuse telephone or communication systems;
- Attempt to manipulate lead qualification;
- Interfere with the PatchLead platform. PatchLead may refuse or discontinue service requests that appear fraudulent, abusive, unsafe, or otherwise inappropriate.
20. CONSUMER RESPONSIBILITIES
You are responsible for providing accurate information and making informed decisions regarding any service provider you choose to contact or hire. You should communicate honestly regarding:
- The nature of the requested work;
- Property conditions;
- Urgency;
- Access requirements;
- Other relevant information. You are also responsible for reviewing any contract, estimate, invoice, warranty, or other document provided by an independent service provider before accepting services.
21. PRIVACY AND PERSONAL INFORMATION
PatchLead collects and processes personal information in accordance with its Privacy Policy. Information may be collected when you:
- Visit a website;
- Submit a service request;
- Contact PatchLead;
- Communicate with an AI voice agent;
- Participate in a telephone call;
- Request connection with a service provider. Our Privacy Policy explains:

- Why we collect it;
- How we use it;
- When information may be shared;
- How information is protected;
- Available privacy rights. By submitting a service request, you acknowledge that information necessary to facilitate your requested connection may be shared with relevant service providers.
22. CONSENT TO COMMUNICATIONS
When you submit a service request, PatchLead and/or an appropriate service provider may contact you using the contact information you provided. Communications may include:
- Telephone calls;
- Automated or AI-assisted calls;
- Text messages;
- Emails;
- Service-related communications. These communications may be necessary to respond to your request and facilitate the requested service connection. Where separate consent is required for promotional or marketing communications, PatchLead will seek consent through the applicable process.
23. MARKETING COMMUNICATIONS
PatchLead may distinguish between communications necessary to fulfill your service request and promotional communications. Where required by applicable law, PatchLead will obtain appropriate consent before sending commercial electronic messages or other promotional communications. You may withdraw marketing consent using the unsubscribe mechanism provided in the applicable communication or by contacting PatchLead. Withdrawal of marketing consent does not necessarily stop communications that are directly necessary to fulfill a service request or provide an existing service.
24. THIRD-PARTY SERVICES AND LINKS
PatchLead websites may contain links, advertisements, integrations, or references to third-party services. Third-party services may include:
- Service providers;
- Payment providers;
- Analytics providers;
- Advertising platforms;
- Other technology providers. PatchLead does not control the privacy practices, policies, content, or services of independent third parties. Your interaction with a third party may be subject to that party’s own terms and privacy policies.
25. CONTRACTOR RESPONSIBILITY AND VERIFICATION
Although PatchLead may use information supplied by participating service providers, PatchLead does not guarantee that every provider is suitable for every consumer or project. Consumers should independently verify information that is important to their decision. Depending on the nature of the service, this may include verifying:
- Licensing;
- Insurance;
- Professional qualifications;
- Business registration;
- References;
- Reviews;
- Pricing;
- Warranty coverage. PatchLead does not represent that every service provider has been independently verified for every qualification applicable to the requested work.
26. SAFETY AND EMERGENCY SERVICES
PatchLead is not an emergency-response service. If you are experiencing an immediate threat to life, serious injury, fire, gas leak, or another emergency situation, you should contact the appropriate emergency service or qualified emergency professional rather than relying solely on a PatchLead connection. PatchLead does not guarantee immediate response times.
27. DISCLAIMERS REGARDING SERVICE PROVIDERS
To the maximum extent permitted by applicable law, PatchLead disclaims responsibility for the acts or omissions of independent service providers. PatchLead does not warrant or guarantee:
- The quality of contractor workmanship;
- The accuracy of contractor estimates;
- Contractor availability;
- Contractor licensing;
- Contractor insurance;
- Contractor pricing;
- Contractor compliance with law;
- Completion of projects;
- Consumer satisfaction. Any concerns regarding work performed by a service provider should generally be addressed directly with that provider. Nothing in these Terms prevents a consumer from exercising rights available under applicable law.
28. WEBSITE AVAILABILITY
PatchLead makes reasonable efforts to keep its websites available and functional. However, websites may occasionally become unavailable because of:
- Maintenance;
- Software updates;
- Hosting problems;
- Internet outages;
- Security incidents;
- Third-party service interruptions;
- Events beyond PatchLead’s reasonable control. PatchLead does not guarantee uninterrupted or error-free operation.
29. INTELLECTUAL PROPERTY
Unless otherwise stated, content appearing on PatchLead websites is owned by or licensed to 1001689754 Ontario Inc. This may include:
- Text;
- Logos;
- Graphics;
- Website designs;
- Software;
- Branding;
- Original content. You may use website content only for personal and lawful purposes. You may not reproduce, modify, distribute, sell, or commercially exploit PatchLead content without authorization.
30. LIMITATION OF LIABILITY
To the maximum extent permitted by applicable law, PatchLead will not be liable for indirect, incidental, special, consequential, or punitive damages arising from:
- Your use of a PatchLead website;
- Your interaction with an independent service provider;
- Contractor workmanship;
- Contractor pricing;
- Contractor availability;
- Contractor conduct;
- Loss of business or opportunity;
- Website interruptions. PatchLead’s role is limited to facilitating connections and operating the applicable technology platform. Nothing in these Terms excludes or limits liability that cannot legally be excluded or limited under applicable law.
31. INDEMNIFICATION
To the extent permitted by applicable law, you agree to indemnify and hold harmless 1001689754 Ontario Inc., operating as PatchLead, and its officers, employees, contractors, and representatives from claims or losses arising from your:
- Violation of these Terms;
- Misuse of the website;
- Fraudulent or unlawful conduct;
- Unauthorized use of another person's information;
- Material violation of applicable law. This provision does not require you to indemnify PatchLead for PatchLead’s own liability where such indemnification is prohibited by law.
32. COMPLAINTS AND SERVICE DISPUTES
If you have a complaint about a service provider, you should first attempt to resolve the matter directly with that provider. If your concern relates specifically to PatchLead’s website, platform, privacy practices, or connection process, you may contact PatchLead using the information below. PatchLead may review complaints relating to its own platform but does not guarantee that it can resolve disputes arising from services independently provided by contractors.
33. CHANGES TO THESE TERMS
PatchLead may update these Terms from time to time to reflect:
- Changes in services;
- Changes in website functionality;
- Changes in applicable law;
- Changes in business operations;
- Improvements to our platform. The updated version will include a revised “Last Updated” date. Where applicable law requires additional notice or acceptance of material changes, PatchLead will provide the applicable notice or acceptance mechanism.
33.1 PROVINCIAL REQUIREMENTS
Because PatchLead may operate consumer websites across Canada, certain provincial requirements may apply depending on the consumer’s location. PatchLead may update its website materials, notices, consent mechanisms, and Terms of Use to comply with applicable provincial requirements, including privacy and language requirements that may apply in Quebec.
34. ELECTRONIC ACCEPTANCE AND ONLINE AGREEMENTS
Where these Terms or another agreement is presented through an online transaction, PatchLead may provide an electronic acceptance mechanism. This may include:
- A checkbox;
- An “I Agree” button;
- Electronic confirmation;
- Other legally recognized electronic acceptance methods. You should review the applicable terms before selecting an acceptance option. Where a transaction requires an express acceptance mechanism, PatchLead will use an appropriate online process.
35. GOVERNING LAW
These Terms are governed by the laws of the Province of Ontario and the applicable laws of Canada, except to the extent mandatory laws of another jurisdiction apply to a consumer. Nothing in these Terms is intended to remove or restrict any mandatory consumer protection rights that cannot legally be waived.
36. SEVERABILITY
If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law. The affected provision will be interpreted or modified only to the extent necessary to make it enforceable while preserving its intended purpose.
37. ENTIRE AGREEMENT
These Terms, together with the applicable Privacy Policy and any additional terms expressly presented to you, constitute the agreement governing your use of the applicable PatchLead consumer website. Additional terms may apply to specific services or transactions.

The PatchLead platform is intended to make it easier for consumers to connect with potentially suitable service providers; it does not guarantee the outcome of any service relationship.
